Item 5.08 Shareholder Director Nominations.
On February 11, 2013, the Board of Directors of Clean Coal Technologies, Inc. (the Company) set May 8, 2013 as the date of the Companys 2013 Annual Meeting of Stockholders (the Annual Meeting) and set March 25, 2013 as the record date for determining stockholders entitled to vote at the Annual Meeting.
In accordance with Rule 14a-5(f) of the Securities Exchange Act of 1934, as amended (the Exchange Act), the Company has determined that proposals to be considered for inclusion in the Companys proxy statement for the Annual Meeting pursuant to Rule 14a-8 of the Exchange Act must be received by the Company at its principal executive offices on or before February 27, 2013. In addition, in order for a stockholder proposal made outside of Rule 14a-8 of the Exchange Act to be considered timely within the meaning of Rule 14a-4(c) of the Exchange Act, such proposal must be received by the Company at its principal executive offices on or before February 27, 2013. Proposals should be directed to the attention of the Corporate Secretary, Clean Coal Technologies, Inc., 295 Madison Avenue, 12th Floor, New York, NY 10017.

On February 11, 2013, the Board of Directors of the Company approved the adoption of a code of business conduct and ethics (the Code). The full text of the Code is attached hereto as an exhibit and will also be posted on the Companys website at www.cleancoaltechnologiesinc.com.
